Czechia is first to notify transposition measures — by pointing at laws it already has

Czechia has become the first Member State to communicate transposition measures for Directive (EU) 2025/25 — fourteen of them, per the EUR-Lex national-transposition record. The striking detail: every single notified measure pre-dates the Directive. Czechia is not announcing a new transposing act; it is telling the Commission that existing Czech law already covers the ground. What exactly was notified

The list spans thirty years of Czech legislation, all published in the Sbírka zákonů: the Notarial Code (Act No. 358/1992 Sb.), the Criminal Code (40/2009 Sb.), the Civil Code (89/2012 Sb.), the Business Corporations Act (90/2012 Sb.), the Public Registers Act (304/2013 Sb.), and amendments running up to Act No. 162/2024 Sb. on conversions of companies, published 19 June 2024 — still more than six months before the Directive appeared in the Official Journal. Notably present: Act No. 416/2022 Sb., Czechia's implementation of the previous digitalisation directive on digital tools and processes in company law. What this does and does not mean

A notification is a Member State's own claim, and EUR-Lex says so plainly: Member States "bear sole responsibility" for this data, without prejudice to the Commission's verification of completeness and correctness [EUR-Lex transposition notifications for Dir. 2025/25Official data]. So this does not mean Czechia has transposed Directive (EU) 2025/25. Provisions like the EU Company Certificate (new Article 16b) and the digital EU power of attorney (new Article 16c) did not exist in EU law before January 2025 [Directive (EU) 2025/25, Art. 2]; whether statutes from 1992–2024 genuinely satisfy them is exactly what a completeness check — the Commission's, and ours against the gazette texts — has to establish.
