Directive (EU) 2025/25 in Czechia: transposition status

Status: measures notified to the Commission; three of the fourteen now read in the official Czech collection, and none verified as complete transposition. On the EUR-Lex national-transposition record, Czechia is the only Member State showing communicated measures for Directive (EU) 2025/25: fourteen of them [EUR-Lex transposition notifications for Dir. 2025/25Official data]. Every one is a pre-existing statute. The newest, Act No. 162/2024 Sb. on conversions of companies, was published on 19 June 2024, before the Directive itself appeared in the Official Journal. Czechia has told the Commission that existing Czech law already covers ground the Directive occupies.

Being the only Member State on the notification record does not mean the only one moving. Belgium approved a preliminary draft law on 3 July 2026 covering one point of the Directive [Belgian Council of Ministers decision of 3 July 2026Implementation note], which is a different kind of step and is not a notification. We have now read three of the fourteen in e-Sbírka, the official electronic collection of Czech law: the Public Registers Act 304/2013 Sb. [Act No. 304/2013 Sb. (Czech Public Registers Act)], the Notarial Code 358/1992 Sb. [Act No. 358/1992 Sb. (Czech Notarial Code)] and the digital company law act 416/2022 Sb. [Act No. 416/2022 Sb. (Czech digital company law act)]. The register machinery is largely in place, the five-working-day entry deadline is shorter than the Directive requires, and the notarial identity check already works remotely at the high assurance level. The EU Company Certificate, the digital EU power of attorney and the Article 16e contact point are not in those acts, and no statute published before 2025 could contain them. A notification is not proof of complete transposition. The Commission's own check of completeness and correctness is expressly reserved on the EUR-Lex page, and eleven of the fourteen acts we have not read.

The dates that bind Czechia regardless

These come from the Directive itself and do not depend on national action:

National law must cite the Directive when the transposing measure is officially published [Directive (EU) 2025/25, Art. 4(4)]. That requirement is how this page will catch it.

What companies in Czechia should do

Nothing is obliged yet. How this page gets updated

The weekly source pass re-checks the EUR-Lex transposition record (updated weekly by the Publications Office) [EUR-Lex transposition notifications for Dir. 2025/25Official data]. When Czechia notifies further measures, this page reports it within days — and moves to "verified" only once we have read the measure in the national official gazette.
