Directive 2025/25 for law firms

The immediate legal work is to separate the harmonised document from the national law governing authority, capacity and procedure.

Questions for each instruction

• Is the proposed act within Directive (EU) 2017/1132's company-law procedures?
• Who has legal capacity and authority to grant the power?
• Does national law require filing of the grant, amendment or revocation?
• What exact scope and type of representation should the document state?
• What evidence must the receiving authority retain?

Article 16c permits Member States to require filing in a register [Directive (EU) 2025/25, Art. 16c(3)]. The Directive harmonises cross-border acceptance but leaves material national-law questions in place.

Dates to put in client advice

The main transposition deadline is 31 July 2027 and application begins on 31 July 2028 [Directive (EU) 2025/25, Art. 4(1)–(2)]. Those are not deadlines for a company to purchase software.
