Directive 2025/25 for company secretaries

Company secretaries should focus on register accuracy, the new maximum filing period and a usable record of who may grant or revoke authority.

Binding change

Member States must ensure that changes to registered documents and information are filed within no more than 15 working days from the change [Directive (EU) 2025/25, Art. 15(2)(a) as replaced]. National penalties and procedures will be set through transposition.

The EU Company Certificate will draw on register information. Poor register data therefore becomes poor cross-border evidence [Directive (EU) 2025/25, Art. 16b].

Preparation checklist

1. Identify every internal event that changes register information.
2. Assign an owner and evidence trail for each filing.
3. Record directors and other representatives authorised to grant powers.
4. Record each mandate's scope, start, expiry, amendment and revocation.
5. Reconcile authority records with the business register.

What is optional

Using the digital EU power-of-attorney template is a company right, not a general company duty [Directive (EU) 2025/25, Art. 16c(1)]. National powers of attorney remain available.
