The European Business Wallet (proposal)

Proposal — the instrument this page describes is not adopted law. It can change or fail entirely.

The European Business Wallet is not law. The Commission proposed it in November 2025, the Council adopted its negotiating position on 9 June 2026, and the European Parliament procedure remains at “Awaiting committee decision”. The final text and timetable are not settled.

Current position

The Parliament file records the responsible ITRE committee, a draft report dated 1 April 2026, amendments tabled on 23 April, and opinions from IMCO and JURI in June [OEIL 2025/0358(COD) (PROPOSAL)Proposal]. The Council can begin negotiations with Parliament once Parliament adopts its position [Council position on European Business Wallets (PROPOSAL)Proposal].

What the Council position says about authority

The Council describes the proposed wallet as allowing a company to delegate legal authority to representatives. It also states that the proposal's authorisation system is not intended to affect powers of attorney or legal mandates already governed by national or Union law [Council position on European Business Wallets (PROPOSAL)Proposal].

A wallet may carry, present or help verify evidence of authority. It does not by itself create every underlying legal authority. The governing law, permitted scope and national procedure still matter.

The Council also says:

• existing national business-to-business and business-to-government systems should be complemented, not replaced;
• national administrative and procedural requirements continue to apply;
• provider authorisation should face a higher cybersecurity threshold;
• national supervisory bodies would have up to 60 days to review provider applications [Council position on European Business Wallets (PROPOSAL)Proposal].

These are negotiating positions. They are not duties on companies today.

What is already law

Directive (EU) 2025/25 already creates the digital EU power of attorney and EU Company Certificate, with national application from 31 July 2028 [Directive (EU) 2025/25, Arts. 16b–16c and Art. 4]. The Business Wallet proposal does not postpone those rules.

The Commission's separate EU Inc. proposal would make its proposed company form's certificate and power of attorney compatible with Business Wallets where available. That wording remains dependent on both proposals being adopted. See EU Inc. and the digital EU power of attorney.

What companies should do now

Do not procure on the assumption that the Commission proposal is the final specification. Record use cases, authority sources, revocation requirements and evidence needs. Keep those requirements independent of a particular wallet provider. Follow the Parliament position and later trilogue text before treating implementation dates or provider requirements as fixed.

What this proposal does not establish today

• It does not create a wallet that a company can obtain now.
• It does not replace national powers of attorney.
• It does not make wallet use compulsory for companies.
• It does not settle the technical architecture or final provider regime.
• It does not change the binding dates in Directive (EU) 2025/25.
